Terms and Conditions of Sale and Use

Applicable to IPBX subscriptions, related services and hardware sales.

Article 1: Purpose and scope

These general terms and conditions (the "Terms") govern the sale and use of the services provided by BREIZH VOIP: subscription to a hosted IP phone system (IPBX), provision of SIP trunk channels and phone numbers, related services, and the sale of telephony hardware. Any order placed on the site constitutes unreserved acceptance of the Terms in force on the date of the order.

Article 3: Customer account and ordering

Subscribing requires creating a customer account and providing accurate information (identity, contact details, company registration number for businesses). The Customer is responsible for the accuracy of the information supplied and for keeping their credentials confidential. Orders are configured online: the number of extensions, trunk channels, numbers and options are selected by the Customer, who sees the full amount before confirming. The order becomes firm upon payment.

Article 4: Identity verification

Opening a phone line and allocating numbers are subject to verification of the Customer’s identity and of the existence of their company, under the obligations applicable to electronic communications operators. This verification is carried out online: the company is checked against the French national business registry, and the legal representative’s identity through a specialised provider, which captures and retains the identity document for that sole purpose. BREIZH VOIP neither receives nor retains a copy. Activation may be suspended until these checks have succeeded. The Customer remains required to provide, on request, any document demanded by a competent authority or a partner operator, in particular the porting mandate.

Article 5: Prices

Prices are stated in euros excluding tax; applicable VAT is added at the prevailing rate. The price of each item (extension, trunk channel, number, option) is the one displayed by the configurator at the time of the order. A one-off setup fee, charged once at activation, is added to the subscription. BREIZH VOIP may change its prices; any change is communicated to the Customer before it takes effect and does not affect periods already invoiced. A Customer who refuses a price increase may terminate under Article 10.

Article 6: Call rates

Where the Customer subscribes to the SIP trunk provided by BREIZH VOIP, outbound calls are charged according to the per-destination rate card, provided at the time of ordering and available at any time from the customer area. Billing is per second. A Customer connecting their own carrier to the IPBX keeps the contractual and pricing relationship with that carrier; no call charges are then invoiced by BREIZH VOIP.

Article 7: Billing and payment

The subscription is invoiced monthly in advance, on the first day of each month. The first month is prorated to the period actually opened. Payment is made by card or SEPA direct debit, according to the method registered by the Customer. Invoices are made available in the customer area.

  • Hardware ordered is invoiced once, at the time of the order, and is not part of the recurring amount.
  • If a payment fails, the Customer is notified and given a period to settle.
  • Under Article L441-10 of the French Commercial Code, late payment between businesses gives rise to penalties at the European Central Bank rate plus 10 points, together with a fixed EUR 40 recovery indemnity.
  • Failing settlement, BREIZH VOIP may suspend the service after informing the Customer.

Article 8: Payment default, suspension and termination

It is the Customer's responsibility to ensure their payment methods are valid and that funds are available. Any payment incident triggers the following procedure, the Customer being notified by email at each stage:

  • 1. Payment failure: the Customer is notified without delay and invited to settle.
  • 2. Seven (7) days after that notice, failing settlement, the service may be suspended. Suspension is notified to the Customer.
  • 3. The suspension notice constitutes formal notice and expressly refers to this resolutory clause.
  • 4. Five (5) days after that formal notice has remained without effect, the contract is terminated as of right, without further formality.
  • Throughout the suspension the subscription remains payable: suspension does not suspend billing.
  • Numbers allocated to the Customer are retained for thirty (30) days from termination, during which the Customer may request porting to another operator, subject to settlement of the sums due. After that period the numbers are released and can no longer be recovered.
  • Restoring the service after settlement may incur a reconnection fee, communicated to the Customer before it is applied.
  • Termination for non-payment does not release the Customer from paying the sums due, increased where applicable by the penalties provided for in Article 7.

Article 9: Term

The subscription is entered into with no minimum commitment period. It runs for an indefinite term, continuing month by calendar month until terminated by either party under Article 10.

Article 10: Termination

The Customer may terminate at any time from the customer area, free of charge and without justification. The request is confirmed by a code sent by email, to ensure it genuinely comes from the account holder.

  • Termination takes effect after a thirty (30) day notice period, on the last day of the calendar month following the end of that notice.
  • The service remains fully available and invoiced until the effective date.
  • The Customer may cancel a termination request as long as it has not taken effect, using the same confirmation procedure.
  • BREIZH VOIP may terminate in the event of a serious breach by the Customer, in particular of payment or usage obligations, after a formal notice left without effect for fifteen (15) days.
  • Outbound number porting is exercised with the receiving operator, in accordance with applicable regulations.

Article 11: Right of withdrawal

The Provider's offers are reserved for professionals acting within the scope of their business activity. Under article L221-3 of the French Consumer Code, the extension of the withdrawal right to professionals applies only to off-premises contracts: a distance contract concluded between professionals therefore carries no withdrawal right. The professional Client acknowledges ordering within the scope of its business. No order is accepted from a consumer within the meaning of the French Consumer Code; accounts opened before this version retain the rights attached to their status.

Article 12: Hardware

Hardware sold carries the statutory guarantee of conformity (Articles L217-3 et seq. of the French Consumer Code) and the guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code), as well as any manufacturer's commercial warranty. Risk transfers on delivery. Hardware remains the property of BREIZH VOIP until the price has been paid in full.

Article 13: Obligations and use of the service

The Customer undertakes to use the service in accordance with the law and these Terms. The following are prohibited in particular:

  • Making fraudulent or malicious calls, or calls breaching the rules applicable to telephone marketing.
  • Using an allocated number outside regulatory conditions, in particular as regards its geographic area.
  • Reselling the service to third parties without prior written agreement.
  • Any action harming the security or availability of the infrastructure.

Article 14: Availability and maintenance

BREIZH VOIP implements the necessary means to ensure service continuity, without that obligation amounting to an obligation of result in the absence of a separately subscribed service level agreement. Interruptions may occur for maintenance, planned and announced where possible, or as a result of external events, in particular failures of internet access networks or third-party operators.

Article 15: Emergency calls

IP telephony depends on the Customer's internet connection and power supply working correctly. If either is interrupted, call routing, including to emergency numbers, is not guaranteed. The Customer is informed of this limitation, inherent to the technology used, and it is their responsibility to provide an alternative means of calling. The Customer undertakes to declare and keep up to date the installation address of each line, as that information determines the routing of emergency calls to the competent centre.

Article 16: Liability

BREIZH VOIP may only be held liable where fault is proven, and its liability is limited to direct damages. It does not cover indirect losses, in particular loss of operations, revenue, customers or data. Nothing in these Terms limits BREIZH VOIP's liability in the event of personal injury or of gross or wilful misconduct.

Article 17: Personal data

The processing of personal data carried out as part of the service is described in the Privacy Policy, which forms an integral part of these Terms. For data the Customer processes through the service on their own behalf, the Customer is the controller and BREIZH VOIP acts as processor within the meaning of Article 28 GDPR.

Article 18: Changes to the Terms

BREIZH VOIP may amend these Terms. The applicable Terms are those in force on the date of the order. Any substantial change affecting an ongoing subscription is notified to the Customer, who may terminate free of charge if they refuse it.

Article 19: Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the Customer should first contact customer service at [email protected] and then, if not satisfied with the response, submit a written complaint to BREIZH VOIP. This prior step is required before referring the matter to a mediator.

  • Under Article L612-1 of the French Consumer Code, consumers may use a consumer ombudsman free of charge to seek an amicable resolution. The competent ombudsman may be contacted within a maximum of one year from the written complaint sent to BREIZH VOIP.
  • Referring a dispute to mediation suspends limitation periods. A mediator cannot be seised where the dispute has already been brought before a court or another mediator, or where the claim is manifestly unfounded or abusive.
  • For cross-border disputes within the European Union, consumers may contact the European Consumer Centre France (www.europe-consommateurs.eu).
  • Failing amicable resolution, the dispute falls within the jurisdiction of the competent French courts.
